Your home country treats every incoming payment as personal income and wants quarterly reports. You need a real EU company you can run remotely, without moving your life to Tallinn. Estonia built exactly that.

Why Estonia works for digital consultants

Estonia is a small country with a big reputation for digital infrastructure. Company registration, tax filing, banking, and signing contracts can all be done online with a government-issued digital ID card. For a consultant who lives in five countries a year, this is not a nice-to-have. It is the point.

An Estonia OÜ is recognised across the EU. Clients in Germany or France see an EU company number and an IBAN. That removes the "freelancer from somewhere" problem. You can register for VAT, use MOSS for digital services, and hire contractors across Europe.

The legal system is creditor-friendly and predictable. Share transfers are simple. The annual report is short for small companies. These details matter when your real office is a laptop.

E-Residency basics

E-Residency is a government-issued digital identity, not a visa or a tax residency. You apply online, pick up a smart ID card at an Estonian embassy or pickup point, and use it to sign documents, access government portals, and manage a company from anywhere.

The card costs around €100–€120 and normally arrives within 3–8 weeks. Once activated, you can register a new OÜ, open a business bank account, file taxes, and sign board resolutions without flying to Estonia.

It does not make you an Estonian tax resident. If you live in Portugal or Thailand, your personal tax obligations stay there. The OÜ is a tool for business administration, not a magic tax passport.

OÜ requirements

An Estonia OÜ (osaühing) is a private limited company. Since 2023, the minimum share capital is effectively €0.01, so capital is no longer a barrier. You need at least one shareholder and one management board member. Both can be non-residents.

If all board members live outside the EU/EEA, Estonian law requires a local contact person for official communication. We provide this as part of the formation package, so you never miss a tax letter or court notice.

The company must have a legal address in Estonia. We provide a registered office and handle the contact person, annual report reminders, and compliance calendar.

Tax and distributions

Estonia does not tax reinvested corporate profits. The effective tax is 20% on distributed profits only, calculated as 20/80 of the net dividend. If you leave money in the company for growth, software, or team expansion, the tax bill in Estonia is zero.

When you do pay yourself, dividends are subject to 20% withholding in Estonia unless a tax treaty reduces it. Your home country may also want a piece. We do not pretend this is simple. We work with your tax adviser to structure distributions cleanly.

VAT registration is required once turnover passes €40,000. If you sell digital services to EU consumers, you register under VAT OSS or MOSS and charge VAT in each customer's country.

Banking and payments

A traditional Estonian bank can be slow for non-resident-owned OÜs. Most consultants use fintech alternatives first: Wise Business, Revolut, Payoneer, or Airwallex. These give you EUR, GBP, and USD IBANs and integrate with Stripe, PayPal, and accounting software.

Once the company has trading history and substance, some clients move to LHV or an EU neobank. The key is to show a real business purpose, a clean ownership chain, and a source of funds that banks can document.

How the OÜ fits a consultant workflow

  • Contracts and invoicing: The OÜ signs service agreements and issues VAT-compliant invoices in EUR or USD.
  • Reinvestment: Retained earnings are not taxed in Estonia, so you can fund tools, ads, or subcontractors from pre-tax profit.
  • Global payouts: Pay contractors in Europe, Asia, or Latin America through the business account.
  • Clean exit: When you sell the agency or wind down, share transfers and liquidation are handled digitally.
