An OÜ is Estonia's private limited company, equivalent to a UK Ltd or German GmbH. Minimum share capital is €2,500 (can be deferred). Formation takes 1–3 business days via the e-Business Register when using e-Residency or a notarised power of attorney. Articles of association, a registered Estonian address, and at least one director are required. INNOVA handles the full filing remotely.
E-Residency is a government-issued digital identity card that allows non-residents to authenticate online, sign documents digitally, and submit filings to Estonian state portals. It does not grant the right to reside, work, or travel within the EU. E-residents receive a smart card and card reader; the application fee is €120–€150 and processing takes 3–5 weeks. It is specifically designed for remote OÜ management.
A local Estonian address is mandatory for the registered office. A local director is not legally required — a non-resident can serve as sole director. However, for banking and VASP licensing purposes, demonstrating local substance (a physical presence or local management board member) significantly improves outcomes. The minimum share capital for an OÜ is €2,500. Under Estonian law, this amount does not need to be paid in at incorporation — it can be deferred, provided shareholders commit to contribute when called upon. For regulatory purposes, particularly VASP licensing through the FIU, significantly higher capitalisation (minimum €250,000) is required regardless of the OÜ's general formation rules.
State registration fees at the e-Business Register are approximately €190 for standard filing and €265 for expedited processing. Notarisation costs apply if the founders cannot use e-Residency (typically €150–€300). E-Residency application adds €120–€150 separately.
