LLC / C-Corp formation for e-commerce

You source products from China, Vietnam, or India. You sell on Amazon, Shopify, or Walmart. You get paid in USD, but your local company does not give you a US bank account, a US tax ID, or credibility with suppliers. A Delaware company fixes that.

We form Delaware LLCs and C-Corps for e-commerce operators who need a US vehicle for Amazon Seller Central, Stripe, PayPal, supplier contracts, and sales-tax registration.

LLC or C-Corp for e-commerce?

For most e-commerce operators, a Delaware LLC is enough. It is simple, has no state income tax on out-of-state sales, and gives you pass-through taxation. You can open a US bank account, get an EIN, and register for sales tax in the states where you have nexus.

A C-Corp makes sense if you plan to raise capital, bring on US investors, or build a multi-brand holding company. Most Amazon sellers and DTC bootstrappers start with an LLC and convert later if needed.

Amazon Seller Central requirements

Amazon does not require a US company to sell on Amazon.com, but a US entity makes the account more stable. It also lets you get a US bank account for disbursements, which avoids high currency conversion fees. Some sellers also use a US company to apply for Amazon Lending or Amazon SFP.

A US entity is almost mandatory for Walmart Marketplace, Target Plus, and some US wholesale accounts. Buyers and suppliers in the US prefer to invoice a US company. For dropshippers, a US LLC can also improve trust scores with domestic payment processors.

Sales tax and nexus

Delaware has no sales tax, but you must collect sales tax in states where you have nexus. Nexus can be created by inventory stored in an FBA warehouse, revenue above a threshold, or economic presence. We connect clients with US sales-tax advisers who register the company in the right states.

Common nexus states for Amazon FBA sellers include California, Texas, Florida, and New York. The rules change frequently. Proper registration prevents audits and account suspensions. We also flag inventory-driven nexus early, because once stock sits in an FBA warehouse, the state expects returns.

Banking and payments

A Delaware LLC can open Mercury, Relay, Brex, or a traditional US bank account. You need an EIN, a US address, and a clear business purpose. For foreign owners without an SSN, the EIN is obtained by paper fax. We handle this as part of the package.

Stripe and PayPal are easier to set up with a US company. Some international payment processors also offer better rates for US-registered businesses.

Supplier and logistics

A US company can sign supplier agreements in USD, negotiate better payment terms, and use US-based freight forwarders. It also separates personal liability from product liability. For sellers with private-label products, the LLC can own the brand trademark, which matters when you file for Amazon Brand Registry or pursue counterfeit claims.

A Delaware company also makes it easier to work with US-based 3PLs and inspection services. Many of these providers will not contract with foreign individuals or offshore entities because of insurance and customs complexity.

Scaling beyond one store

A Delaware LLC can own one store or act as a holding company for multiple brands. If you plan to sell the brand later, a clean single-entity structure is easier to diligence. If you want to protect multiple product lines from each other, a Delaware parent + separate LLCs per brand may be the better setup.

We help e-commerce operators choose the structure that matches their exit plan, not just their launch plan. That decision is harder to reverse after revenue grows.

Cost and timeline

Delaware LLC formation: $1,500–$2,500. C-Corp: $2,500–$4,000. EIN by paper: 4–6 weeks. Bank account: 2–6 weeks. Sales-tax registrations are separate and state-specific.

FAQ

Can a non-US citizen own a Delaware LLC for Amazon? Yes. Foreign ownership is allowed.

Do I need a US address? A registered agent address in Delaware is required. We provide this.

Does a Delaware LLC pay US tax on foreign sales? Generally no, if sales are outside the US and the owner is not a US resident.

Do I need sales tax registration? Yes, in any state where you have nexus.

Can I use a Wyoming LLC instead? Wyoming is great for privacy and low fees. Delaware is better if you plan to raise capital or use US investors.
